MATT is a partner in the Corporate and Securities and Mergers & Acquisitions groups in our Silicon Valley office. His practice focuses on representing emerging growth companies throughout their lifecycle, from start-up through initial and expansion rounds of financing to an acquisition or IPO. His start-up practice involves counseling entrepreneurs on the formation of their companies, equity structures, negotiations with seed and venture capital investors, and employment and intellectual property matters. In addition, he works with management of later-stage private companies and public companies on a broad range of matters including securities offerings, debt financing, corporate governance matters, equity incentive plans, mergers and acquisitions (M&A) and other strategic transactions. Matt’s clients are involved in a broad spectrum of industries, including consumer internet, life sciences, financial services, clean-tech, and software sectors.

In his M&A practice, Matt has represented public and private companies in many transaction structures, including private equity transactions, auction contests, cross-border transactions, joint ventures and leveraged buyouts. Matt has also represented investment banks acting as financial advisors and delivering fairness opinions in M&A transactions. During his career, Matt has been involved in M&A transactions having a total value of over $20 billion.

Matt also represents venture capital and other institutional investors in a variety of venture financing, private equity and recapitalization transactions.

Prior to joining our firm, Matt practiced in the Mergers & Acquisitions group in the New York office of Sullivan & Cromwell, and the Emerging Company practices of the Northern California offices of Brobeck, Phleger & Harrison and Morgan, Lewis & Bockius.

Matt received his J.D., cum laude, from the New York University School of Law, where he was a member of the Journal of Legislation and Public Policy. He received his B.A., English, from Syracuse University. Matt is admitted to practice in California and New York.
