RICH, originally based in our Silicon Valley office, is a partner and co-founder of our Boston office. Rich's practice is focused on the representation of start-up and emerging growth companies and venture and private equity investors. Rich specializes in corporate and securities law; private, public and commercial financings; mergers and acquisitions; and venture fund formations.

Rich has worked with emerging growth companies in a variety of fields, including software, internet, medical device, life science, biotechnology, telecommunications, semiconductors, financial services, healthcare information and management, and retail. He regularly advises company clients and their management on a broad range of corporate matters, including company formation, equity structures, financing negotiations, corporate governance responsibilities, equity incentive plans and arrangements, employment matters, intellectual property, strategic and commercial transactions and exit events. Rich has also represented institutional investors in a variety of venture financings, tender offers, buy-outs and recapitalization transactions. Rich has served as investors' counsel for numerous top-tier venture capital and crossover funds.

In particular, Rich has represented numerous emerging growth companies and institutional investors involved in cross-border transactions. He has significant experience in representing US and London-based venture capital funds in transactions in the United Kingdom and Western Europe. Recently, Rich has participated in the National Venture Capital Association (NVCA) Model Document Working Group and helped prepare the NVCA's model venture capital financing documents.

Rich holds a J.D., with Honors, from The University of Chicago, where he was a Comment Editor of The University of Chicago Legal Forum. Rich received an A.B. in Economics and History, with Departmental Honors, from Stanford University. Rich is an active member of the California and Massachusetts State Bars.
